This chapter discusses the steps that companies should take in dealing with
employees in order to protect the company's trade secrets. While these topics
are dealt with by state law, as distinguished from federal, considerable
detail is contained in the chapter on identifying and protecting trade secrets
because the laws in most state laws are very similar. A section also deals
with the enforceability of "restrictive covenants." Again these
vary from state to state but certain principles are discussed and recommendations
made based on the author's considerable litigation experience in dealing
with trade secrets and restrictive covenants.
